Terms of Service
Effective: February 2026
1. Services
Veriti provides AI-powered document intelligence consulting services including document search systems, workflow automation, custom AI tools, report generation, and AI strategy for Australian businesses. The specific scope, deliverables, and timelines for each engagement are agreed in writing before work begins.
2. Payment terms
All projects are quoted on a per-project basis in Australian dollars (AUD). Unless otherwise agreed in writing:
- A 50% deposit is required before work commences
- The remaining balance is invoiced upon project completion
- Invoices are payable within 14 days (NET 14)
- All prices are quoted exclusive of GST unless stated otherwise
3. Intellectual property
- Your data and outputs: You retain full ownership of your data, documents, and any outputs generated specifically for your project.
- Our systems and tools: Veriti retains intellectual property rights in its underlying systems, methodologies, tools, frameworks, and reusable components.
- Open source: Any open-source components used in your project are governed by their respective licences, which will be documented and provided to you.
4. Limitation of liability
To the maximum extent permitted by law, Veriti's total liability for any claim arising from our services is limited to the fees paid by you to Veriti in the 12 months preceding the claim.
Veriti is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
5. Data handling
Your data is handled in accordance with our Privacy Policy. In summary:
- Client data is processed only within the agreed project scope
- Documents are stored in secure, Australian-hosted environments
- Data is deleted upon project completion or at your written request
- Your data is never used for AI model training or shared with third parties
6. Termination
Either party may terminate an engagement with 14 days' written notice. Upon termination:
- All outstanding fees for work completed up to the termination date are due
- Any deliverables completed to date will be provided to you
- Your data will be returned or deleted as per your instructions
7. Changes to these terms
We may update these terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
8. Governing law
These terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
